Terms of Sale for SEO Reports

Service description: the SEO reports covered by these terms of sale include a detailed analysis of the current search engine optimization status of the website specified by the client.

Delivery: the reports are delivered electronically to the email address provided by the client, within 10 days of the order being confirmed.

Payment: payment in full is required before the reports are delivered. Payment terms are agreed between the client and CyberPerformance.

Final nature of the sale: once the order has been agreed, the sale is considered final and no refund is possible.

Revisions: limited revisions will be carried out if substantial errors are identified in the reports. Revision requests must be submitted within 5 days of the reports being delivered.

Client responsibilities: the client is responsible for providing the accurate and complete information needed to produce the SEO reports. Delivery may be delayed if that information is incomplete or inaccurate.

Confidentiality: all information provided by the client is treated confidentially and will not be disclosed to third parties without explicit consent.

Force majeure: CyberPerformance cannot be held responsible for delays or for an inability to deliver the service because of circumstances beyond its control, such as natural disasters, strikes or any other event of force majeure.

Analysis data is indicative: the data included in the SEO reports is provided for guidance only. It reflects the use of paid tools that generally give a good overview of the performance and the rankings of the site analyzed. There is, however, no guarantee that this data is accurate.

Limitations of the tools used: the results of the analyses are based on the performance of the tools used, and variations may occur because of algorithm updates, changes to search settings or other factors beyond our control.

Accuracy disclaimer: CyberPerformance cannot guarantee the absolute accuracy of the data provided in the SEO reports. Clients are encouraged to use this information as an indicative guide and to carry out additional verification as needed.

No commitment: by accepting the SEO reports, the client acknowledges that the analysis data does not constitute a commitment to specific results, and that CyberPerformance assumes no responsibility for the decisions the client makes on the basis of that data.

Currency and taxes: all prices shown are in Canadian dollars (CAD) and are subject to the applicable taxes under the tax legislation in force.

Tax calculation: taxes are added to the total cost of the order at the time of invoicing, at the rates in force. The client is responsible for paying all taxes associated with the transaction.

Changes to rates: CyberPerformance reserves the right to change its service rates in response to changes in tax rates or to other economic factors. Any rate change will be communicated to the client with reasonable notice.

Invoicing: invoices, including the details of the services provided and the applicable taxes, are sent electronically to the client at the email address provided with the order.

General provisions

(a) Amendment: this Agreement may only be amended or supplemented in writing and signed by both parties. For an amendment to be valid, both parties must use a digital signature method with two-factor authentication.

(b) Assignment: the Client may not assign or transfer its rights or obligations under this Agreement without the prior written consent of CyberPerformance. The Agency may assign or transfer its rights or obligations under this Agreement to any entity related to CyberPerformance.

(c) Governing law: this Agreement is governed by and interpreted in accordance with the laws in force in Quebec, Canada.

(d) Election of domicile: this Agreement is governed by the laws of the province of Quebec, without regard to the conflict of law principles that would otherwise require the application of the laws of any other jurisdiction. The Parties agree to elect domicile in the judicial district of Québec City, province of Quebec, and choose it as the appropriate district for the hearing of any claim arising from the interpretation, application, performance, entry into force, validity and effects of this Agreement.

(e) Waiver: the failure of a Party to enforce a provision or a right under this Agreement will not be considered a waiver of that right or that provision.

(f) Severability: if a provision of this Agreement is held to be invalid, illegal or unenforceable by a court of competent jurisdiction, the validity, legality and enforceability of the remaining provisions will not be affected.

(g) Headings: the section headings in this Agreement are for convenience only and must not be used to interpret or restrict the provisions of this Agreement.

(h) Entire agreement: this Agreement constitutes the entire agreement between the parties with respect to the subject matter of this Agreement and supersedes all prior or contemporaneous agreements, communications and understandings, whether written or verbal.

(i) Nature of the contractual relationship: the Client agrees that the commitments made by CyberPerformance under these terms do not prevent CyberPerformance from providing services to the Client's competitors.

By accepting these terms, the client acknowledges having read, understood and accepted the terms of sale, including the fact that no refund is possible once the SEO reports have been delivered.
